We use science to save lives, and so can you. We are currently recruiting for a Legal Counsel to assist on legal aspects of commercial transactions and IP licences. Job purpose With a focus on legal aspects of commercial transactions and IP licences, working closely with colleagues to deliver executed contracts that align with OXB’s goals and timelines and ensuring that OXB is not exposed to unacceptable risks through its relationships with other parties. Your responsibilities in this role would be: Part of negotiation team for commercially significant CDMO contracts and IP licences across the OXB group

Lead on the drafting, review and signature of legal agreements Responsible for ensuring that other areas of the business input as necessary

Work with project teams and IP colleagues across the group to ensure that IP arising from collaborations and service provision is appropriately identified and protected in accordance with the relevant agreements Work with commercial colleagues, project teams and others to ensure compliance with agreements, including by providing training Advise commercial and other colleagues on issues arising in client projects and drafting appropriate side letters, amendments, etc. to ensure compliance with the contract Draft, advise, train and mentor other members of Contracts team on legal aspects of a range of contracts Identify and advise OXB on risks associated with certain contracts Deputise for Head of Contracts and IP on contract-related matters Role Impact Provides general legal expertise and advice internally to support the Contracts Team reducing reliance and spend on external counsel Enables OXB to complete expeditious legal review in connection with contract negotiations for revenue-generating services minimising the need to engage external counsel with significant cost savings Provides advice on specific legal aspects of contracts to the Contracts Team Up-skill other members of the Contracts Team by providing specific training and mentoring Ensures that OXB is aware of any significant or unusual risks associated with contracts prior to signature We are looking for: Law degree Demonstrable high-level knowledge of contract law Demonstrable understanding of how contract law is applied in commercial contracts Demonstrable experience advising on legal aspects of high-value and/or complex commercial and IP agreements Extensive understanding of the value of IP and how this value can be protected Strong ability to recommend solutions to problems in relationships with other parties Extensive experience working collaboratively with others, both internal colleagues, clients, suppliers and external advisors Ability to express complex legal and commercial issues both verbally and in writing A pragmatic and flexible approach to working in an area where priorities can change often About Us: OXB is a quality and innovation-led viral vector CDMO with a mission to enable its clients to deliver life changing therapies to patients around the world.
