Reports to Chief Operating & Transformation Officer Job Summary

Primary duties and responsibilities include, but are not limited to the following: Advising leadership and other business units on legal matters, including contractual terms and conditions, compliance requirements, and regulatory concerns Monitoring and anticipating changes in laws and regulations that may impact the business Drafting, reviewing, and negotiating a broad range of agreements, including Licensing Agreements, Consultancy Agreements, Service Agreements, Data Processing Agreements, Procurement Agreements, CDAs, and other legal documents Managing and coordinating litigation and dispute resolution matters, including managing outside counsel Providing legal guidance and corporate support for mergers and acquisition work as well as company secretarial matters Consulting on and implementing policies and procedures to ensure compliance with applicable laws and regulations Conducting legal research and providing guidance on complex legal issues, including potential risks and impact on the business Participating and supporting strategic planning initiatives for the company Suggesting and executing improvements to the operational excellence of the OPEN Health Legal Team, including updating contract templates, checklists, and policy documents Maintaining continuing education and certification requirements with applicable professional associations Identifying and assessing risks present in the organization and making appropriate recommendations to internal stakeholders Developing and delivering training on legal and compliance issues to the business. Experience, Skills, and Qualifications

Required skills include, but are not limited to: Extensive commercial understanding involving contract negotiations and reviews Extensive corporate understanding managing company entities Regulatory or pharma understanding will be a big advantage Developing and maintaining good working relationships with internal and external clients Pragmatic approach to contracting and problem-solving Strong interpersonal and communication skills, with the ability to communicate complex legal issues to non-legal stakeholders Good team player Excellent time management and organization Acute commercial awareness Required qualifications include, but are not limited to: Juris Doctor degree or Bachelor of Law (LLB) from an accredited law school Registered and qualified with SRA and/or CILEx
