THE ROLE:

This is a fixed-term, 12-18 months, full-time opportunity to join the Company Secretarial team dedicated to providing support to our clients. The Company Secretarial team plays a pivotal role in ensuring that the client and the Board adhere to good corporate governance practices and comply with associated laws and regulations. You will facilitate excellent decision-making across the business, simplify complex processes, and contribute to the client's success. Your responsibilities will include managing and leading corporate governance in the region, providing company secretarial services, and collaborating with others offering similar services globally.

Responsibilities:

Manage and lead the corporate governance in the region and associated company secretarial services (including local statutory compliance requirements for all companies, branches, joint ventures, and investments). Organise board meetings, draft board minutes, shareholder resolutions, and any associated briefings/documentation, ensuring that all actions arising are appropriately discharged in a timely manner. Lead governance on the client's group-wide entity rationalisation programmes and associated liquidations, acting as the lead for the UK entities and providing support where necessary to similar projects overseas as they impact UK entities. Provide advice on director duties and responsibilities to the directors of subsidiary companies and be responsible for inductions for new subsidiary directors. Ensure that the client's standards of corporate governance, delegated authorities, and unique authorities, as well as the client's governance framework, are applied and enforced within the region. Review these in line with changes to the business, legislation, and regulation, and advise on any amendments and applications. Serve as Secretary and/or director for group subsidiary entities. Act as the primary interface with governance professionals outside of the UK to ensure a consistent and cost-effective approach to governance. Proactively consider global consistency of practices and sharing of knowledge with other regions. Oversee the maintenance of the Blueprint database by other team members, ensuring that corporate documentation and statutory filings relating to companies in the region are kept up to date. Assist with the client's Security Policy and participate in the forum for trading in sanctioned or embargoed countries (where permitted by law). Maintain records of corporate decisions in this regard and ensure they are made available to the business. Stay up to date with corporate governance regulations and legislation, regulatory, competition laws, and treasury obligations and their impact on subsidiaries, ensuring compliance with legal and regulatory requirements and seeking specialist support when necessary. Assist the Corporate Governance Legal Director and the Company Secretary & General Counsel, Governance in delivering any budgets within our team. Contribute to the development of relevant knowledge sharing and training areas for the team and ensure the effectiveness of processes. Contribute to delivering the team's strategy and strategic priorities. Provide support to the Corporate Governance Legal Director and the Company Secretary & General Counsel, Governance as required to meet business needs.

Essential Criteria 7+ years company secretarial experience, ideally in a FTSE 350 listed organisation or professional services environment. Demonstrate a thorough knowledge of company secretarial matters commensurate with the position. Good knowledge of company law and corporate governance regulation and legislation. Management of direct report(s) and the ability to support, guide, coach and mentor other members of the team. Highly organised, able to prioritise and plan, excellent attention to detail and reliable to produce accurate work. Work under pressure and consistently to a high standard. Be a self-starter and able to work autonomously. Uses initiative and is pro-active. Good analytical and problem-solving skills. Excellent communication skills, both written and verbal. Persuasive, discreet and has strong stakeholder engagement skills with a wide range of people at all levels, including senior executives and Board members. Making complex, technical governance concepts simple for other stakeholders to understand, including those located outside of the UK.

Desirable Criteria ICSA qualified (not essential for someone who has a number of years' experience gained in a FTSE listed company secretarial environment). Knowledge of Blueprint or equivalent system (desirable).

ADDITIONAL INFORMATION

As a member of an ISO Compliant center, the candidate will be required to follow the policies and procedures on Information Security Management System in place at the Center of Excellence and globally at Factor. As a member of the Factor team, the applicant will have access to various company and client assets and will be required to maintain the level of security as identified for each asset.
