Key Responsibilities:
* Provide comprehensive legal counsel to clients on securities offerings, compliance with SEC regulations, mergers, acquisitions, and other corporate transactions. * Draft, review, and negotiate corporate agreements, including securities-related documents, contracts, and other transactional materials. * Collaborate with senior attorneys to provide strategic guidance to clients on a variety of corporate legal matters. * Manage client relationships, ensuring excellent communication, and a high level of satisfaction. * Work on cross-border transactions and corporate matters, utilizing proficiency in both Mandarin and English to communicate effectively with clients and stakeholders. * Contribute to the firm's business development efforts, including building new client relationships and expanding existing client engagements. * Stay up to date with changes in securities and corporate laws, regulations, and industry trends to provide relevant and timely advice.
Qualifications:
* Juris Doctor (JD) degree from an accredited law school. * 3-5 years of experience in corporate law, specifically securities offerings, SEC regulations, mergers, acquisitions, and general corporate counseling. * Fluency in both Mandarin and English is required for effective client communication and documentation. * Admission to the New York Bar is required. * Authorized to work in the U.S. * Exceptional written and verbal communication skills, with the ability to distill complex legal concepts into clear and actionable advice. * Strong interpersonal skills with the ability to build and maintain client relationships. * Proactive, self-motivated, and able to work independently as well as collaboratively within a team environment.
