Role Overview:
We are seeking a talented and driven Mid-Senior Associate to join our M&A and Private Equity practice, with additional involvement in Emerging Companies and Venture Capital (ECVC). This role offers a dynamic opportunity to work on high-profile transactions across diverse industries while engaging with sophisticated clients in a fast-paced environment.
Key Responsibilities:
* Lead and manage M&A transactions, including buyouts, mergers, and divestitures. * Represent private equity sponsors and portfolio companies in acquisitions, sales, and recapitalizations. * Advise emerging companies and venture capital firms on financing rounds, governance, and corporate structuring. * Conduct due diligence, draft, and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and investment documents. * Collaborate with cross-disciplinary teams, including tax, employment, and regulatory advisors, to provide holistic client solutions. * Mentor and supervise junior associates, fostering their professional growth.
Qualifications:
* J.D. from a top-tier law school with strong academic credentials. * Admission to the New York Bar. * 4-7 years of transactional experience, including a focus on M&A and Private Equity; ECVC experience is a strong plus. * Exceptional drafting, negotiation, and project management skills. * Ability to manage multiple high-stakes matters with competing deadlines. * Strong interpersonal skills and a commitment to delivering top-notch client service.
