The Role To support the provision of a first-class company secretarial service to Lloyd’s governing committees and the management and operation of a robust governance framework. Principal Accountabilities To support the provision of company secretarial support for meetings of the Council of Lloyd’s and its committees, preparing the first draft of the agenda, meeting packs on Diligent BoardBooks (or equivalent) and maintaining and monitoring action tracking on a rolling basis, including (but not limited to) attending and taking the minutes of the Council of Lloyd’s. To act as Secretary to committees of the Council and Lloyd’s UK subsidiaries as required, collaborating with colleagues in the Finance and Legal teams as appropriate, developing and maintaining strong stakeholder relationships with senior management. To support senior team members in ensuring that the governance arrangements for Lloyd’s are conducted in accordance with Lloyd’s constitutional arrangements, best practice and any applicable law or regulation. Provide proactive principal support to senior team members to deliver Corporate and Departmental projects, providing subject matter advice on Lloyd’s constitution and governance as required including preparation of draft materials for approval by senior team members. To play a key role in supporting the Annual General Meeting (AGM) process, including liaising with a number of internal and external stakeholders, reviewing the members register, working on the circular documentation for members, preparation for on the day meeting and contingency planning. To support the Council and Council Committee annual self-assessment process. To support the annual Terms of Reference review for the Council & Council Committee as needed. Ongoing support of the Council & Council Committee annual agenda planning.
