The Job This is an exciting opportunity for an in-house legal counsel with commercial/construction experience to assist the International Legal team with contracts across our Region from Ireland to Japan. Such counsel will also take particular legal responsibility for Europe, which includes our UK, German and Spanish companies as well as our Irish and Swiss affiliates. You will be required to provide timely, high-quality, practical and commercially focused legal advice balancing legal risk with the commercial needs of the business. Essential Duties and Responsibilities: Providing commercially focused legal advice on a broad range of areas including company secretarial, master service agreements relating to maintenance, remote technical support and permanent on-site support as well as the integration of sophisticated audio-visual and software systems, ensuring compliance with applicable law and acceptable risk profiles. Reviewing, negotiating and/or drafting agreements and conducting contract negotiations with project counterparties primarily for construction/integration, maintenance and related services. Supporting with contentious and non-contentious contractual matters with respect to tenders, projects, variations and on-going contractual and operational issues within the business. Assisting in the governance of transactions at local and Group level. Working closely with colleagues throughout the Group and with customers. Managing external legal resource as required. Involvement in developing and delivering training on various issues for colleagues across the business. This role reports directly to the General Counsel of International and will work particularly closely with the senior leadership teams in the UK and the EU, alongside regular interactions with other business functions and local affiliate companies as well as externally with counterparty legal advisers, external legal advisers, contract counterparties and customers. Minimum Requirements: 3+ years PQE preferred. Skills and Abilities: Good knowledge of relevant areas of law including on a contentious and non-contentious basis, outsourcing, commercial and UK/EU public procurement. Fluent German or Spanish language proficiency with a background in German or Spanish commercial and/or construction contracts preferable (qualification therein unnecessary). Some knowledge of construction contracts (particularly FIDIC and JCT) ideal. Ability to draft and negotiate a variety of documentation including development, construction, consultancy and services agreements. Ability to deal with risk management, governance and compliance. Ability to manage a sizeable workload in a fast-paced environment. Comfortable with stakeholder management but also able to work with colleagues at all levels of the business. Strong interpersonal and relationship skills, with the ability to influence and persuade others in a constructive manner. Why Work for AVI-SPL?
