21f671265c8e Job Description: The European Legal Director is the principal point of contact for all day-to-day European legal matters in Greenhill’s European offices. Reporting directly to the General Counsel for Europe, this role will be based in our xx office. Benefits:

Key Responsibilities: Reviewing and negotiating all legal documentation including business side (for example, engagement letters, NDAs) across Europe, and globally as required. Managing and overseeing the Firm’s European supplier onboarding according to relevant compliance and regulatory requirements including supplier due diligence to ensure compliance with GDPR, UK Modern Slavery Act and anti-money laundering legislation. Reviewing supplier contracts and contractual wording to ensure they are in compliance with GDPR. Assisting the General Counsel for Europe in supporting the banking team in UK sponsor and UK Code transactions, and other equivalent types of transactions in Europe. Providing company secretarial support for all European entities and Cayman, ensuring the maintenance of company books, registers and Companies House filings (or equivalent). Assisting the General Counsel for Europe in maintaining the Firm’s compliance with all corporate filings, monitoring legal developments and implementing new and revised policies and procedures, as appropriate. Assisting with reviewing, updating and enhancing firm manuals, written supervisory procedures and other policies. Coordination with the group’s global legal and operations teams, based in New York. Assisting with the development and delivery of training programmes to ensure employee compliance with the firm’s European legal and regulatory obligations. Assisting the General Counsel for Europe with interactions with regulatory agencies, including handling regulatory audits, enquiries and exams. Assisting with the preparation of management reports. Working closely with senior managers on significant corporate initiatives and special projects. Supporting the Human Resources and Operational team members with legal advice, as required. Attending senior management committees including European fairness, BCP and management committees, as required. Knowledge and Experience: The successful candidate will possess an excellent academic record. Be a qualified lawyer with corporate finance experience. Have transactional experience in public and private M&A, with working knowledge of the Listing Rules, Prospectus Rules, Disclosure and Transparency Rules, and the Takeover Code and their European equivalents. German, French and/or Spanish language skills are helpful, but not essential. Be proficient with Outlook, Word, and Excel. Excellent organisation and time management skills. Team player with the ability to multi-task. Ability to maintain confidentiality and capacity to prioritise tasks. Strong oral and written communication skills. Ability to work on own initiative and possess strong interpersonal skills. Flexibility and adaptability. Professional, poised, polished.
