Ref: 4081G £75K - £100K + Bonus & Benefits London Our Client, an acquisitive Global Asset Manager, is looking to hire a Corporate Governance Manager who will be responsible for establishing a Corporate Administration team to service the Groups worldwide entities out of their UK office. Reporting to the CEO and Board, duties will include: Set up the Department and then recruit & supervise junior staff Oversee the formation and dissolution of entities. Handle changes in officers and shareholders, ensuring filings are accurate. Oversee statutory books and registers, including minute books. Oversee the filing of documents with Companies House and other offshore registrars. Spearhead regulatory requirement gathering for launching of offshore vehicles. Supervise the maintenance of accurate records and statutory registers. Prepare and distribute board packs, notices, and agendas. Organize and attend meetings, recording minutes. Assist with transaction documentation and coordination Assist in deal structuring based on financial and regulatory insights. Assess the context of each deal to advise on the best structuring approach. Support other teams with regulatory and legal compliance. Work closely with the Compliance function to monitor the regulatory landscape for any developments affecting group activities. The successful candidate will either be a qualified/part qual Company Secretary (ICSA/Corporate Governance Institute) or a qualified accountant or lawyer, with at least 5 years experience in administration or governance in a FCA regulated entity. Any experience of overseas requirements is useful but more important is a “sleeves rolled up approach”, willing to learn new material, take responsibility and getting involved in the detail.
