Our assets business includes downstream refining and distribution, midstream terminals, and upstream non-operated investments in oil and gas production. The role will be within the Oil Assets business and will report to the Head of Commercial & Legal (Oil Assets). Responsibilities:

General

The role involves broad responsibilities relating to all legal and commercial aspects across the asset business. Collaborate with senior executives and cross-functional teams within the assets and at the Oil Assets Department Level in the development and execution of asset strategies and projects including providing proactive legal and commercial advice. Engage with joint venture partners and manage relationships with legal counterparties within them. Legal and commercial support for existing asset portfolio

Review, draft and negotiate complex legal documents related to asset management, including sale and purchase agreements, joint venture agreements, procurement, and construction contracts. Support internal stakeholders with legal interpretation and risk identification, assessment, and mitigation in day-to-day asset management activities. Ensure Glencore corporate requirements are applied within asset businesses as necessary. Lead the management of disputes and claims arising from asset operations, working with external counsel as necessary to resolve legal issues efficiently. Oversee and manage legal arrangements for the sale of oil and gas produced by the company’s upstream assets, ensuring all sales contracts and agreements are aligned with operational objectives and legal standards. M&A and disposals

Support the asset business with business development opportunities and M&A, including advising on: confidentiality and exclusivity agreements; due diligence; competition requirements; offer letter and bid documentation; transaction documentation; integration. The ideal candidate:

Qualified to practice law in England & Wales (a common law jurisdiction). PQE of 5 or more years in private practice and/or in-house. Excellent legal/qualitative analytical, contract negotiation, and drafting skills. Strong business acumen and the ability to align legal advice with business objectives. Proactive, detail-oriented, capable of managing multiple projects in a fast-paced environment with limited supervision. Experience working across different countries/regions/cultures. Experience of advising on development projects and related corporate activity (JVs, Mergers & Acquisitions, etc.) and/or project financing transactions and/or large infrastructure projects. Experience in oil and gas is desirable but not essential.
